Mixed Use Condominium, New York, NY: Represented the minority shareholders in a dispute regarding the development of a mixed use condominium property in Greenwich Village. Responsibilities included the renegotiation of Shareholders’ Agreement, Voting Rights Agreement and Corporate ByLaws, the Restructuring of Corporate Governance and Profit Distributions and the review of refinancing documents on behalf of the minority interests.
Telluride Mountain Village, CO: Represented the RAL Companies and Affiliates in the acquisition and financing of several vacant land lots in Telluride Mountain Village, CO and the subsequent development of the properties as a mixed use resort / spa / timeshare / condominium property. Responsibilities included bridge / acquisition / construction financing, mezzanine financing and joint venture agreement, coordination of all municipal approvals and entitlements, coordination of hotel management agreements, agreements with architect and construction manager and settlement of mechanics lien claims.
